📜 Terms & Conditions for DhwaniPay

Welcome to DhwaniPay, a voice-based UPI payment notification application operated by Mr Fincare Payment Solutions ("Company", "we", "our", or "us").

These Terms & Conditions ("Terms") govern your access to and use of the DhwaniPay mobile application available on Android devices.

By downloading, installing, accessing, or using DhwaniPay, you agree to comply with and be bound by these Terms. If you do not agree with any part of these Terms, please discontinue use of the application.

✅ 1. Acceptance of Terms

By using DhwaniPay, you confirm that:

• ✔ You have read and understood these Terms.
• ✔ You agree to comply with these Terms and our Privacy Policy.
• ✔ You understand how the application uses permissions required to provide its services.
• ✔ You accept any future updates to these Terms when published.

These Terms apply to both free and premium users.

🔊 2. Description of Service

DhwaniPay provides voice alert notifications for UPI payment transactions received through supported Indian payment apps and SMS.

Key features include:

• 📢 Real-time voice alerts for UPI payments
• 📩 Reads SMS to announce the real time payment voice alerts
• 📱 Support for 10+ popular Indian UPI apps (Paytm, PhonePe, Google Pay, BHIM, Amazon Pay, etc.)
• 🌐 Multi-language voice announcements
• 📊 Transaction history and analytics
• ⚙️ Customizable alert settings
• 🔒 Local encrypted data storage

👤 3. Eligibility

You must be at least 18 years old to use DhwaniPay. The App is intended for business users, shopkeepers, and individuals who accept UPI payments. By using the App, you represent and warrant that you meet this eligibility requirement.

📄 4. License Grant & Restrictions

4.1 License Grant

We grant you a limited, non-exclusive, non-transferable, revocable license to use DhwaniPay for your personal or business use, subject to these Terms.

4.2 Restrictions

You agree NOT to:

• ❌ Modify, reverse engineer, decompile, or disassemble the App
• ❌ Remove any copyright or proprietary notices
• ❌ Use the App for any illegal or unauthorized purpose
• ❌ Attempt to gain unauthorized access to any systems or networks
• ❌ Interfere with or disrupt the App's operation
• ❌ Use the App to transmit viruses or malicious code
• ❌ Resell or commercially exploit the App without permission

📱 5. User Responsibilities

5.1 Device Requirements

You are responsible for:

• 📲 Maintaining a compatible Android device
• ⚙️ Ensuring your device has the necessary permissions enabled
• 🔄 Keeping the App updated to the latest version
• 🔐 Securing your device with appropriate security measures

🔔 5.2 Notification Listener and SMS Permission

DhwaniPay requires Notification Listener and SMS permission to read UPI payment notifications. You acknowledge that:

• This permission is essential for the App to function
• We only read notifications from supported UPI apps and SMS
• All notification data is processed locally on your device
• You can revoke this permission anytime through Android settings

⚠️ 5.3 Data Accuracy

While we strive for accuracy, you acknowledge that:

• Voice alerts are based on notification data from UPI apps and SMS
• We are not responsible for errors in source notifications
• You should verify important transactions in your payment apps
• DhwaniPay is a notification tool, not a payment processing service

💎 6. Premium Subscription

6.1 Premium Tier:

• ✨ Unlimited voice alerts
• 📚 Cash book with Cashflow details
• 🔍 Transaction search and filtering
• ⚡ Priority customer support
• 🚫 Ad-free experience
• 🧾 QR generator

6.2 Subscription Terms

• 📅 Premium subscriptions are available on a monthly basis
• 🔄 Subscriptions auto-renew unless cancelled 24 hours before renewal
• Pricing is displayed in the App and subject to change with notice
• 💳 Payment is processed through PA licensed payment gateway partners
• ⚙️ You can manage subscriptions through your TPAP applications where the Autopay is setup

6.3 Cancellation

You may cancel your premium subscription at any time through:

• DhwaniPay → Subscriptions → Current Plan → Cancel

Cancellation takes effect at the end of the current billing period. No refunds for partial periods.

6.4 Refund Policy

General Policy:

• All sales are final. No refunds for partial subscription periods
• Refunds may be granted for technical issues preventing app use, for which you need to contact our support team via email channel.
• Refund requests must be submitted within 7 days of purchase
• All refund decisions are at our sole discretion

How to Request a Refund:

1. Contact contact@dhwanipay.com within 7 days of purchase
2. Include your transaction details and reason for refund
3. Provide details of any technical issues experienced
4. We will review and respond within 3-5 business days

Note: Refunds requested after 7 days or for change of mind are not eligible.

©️ 7. Intellectual Property

All content, features, and functionality of DhwaniPay, including but not limited to:

• 💻 Software code, algorithms, and architecture
• 🎨 User interface design and graphics
• 🖼 Text, images, logos, and branding
• 🔊 Audio files and voice synthesis technology

are owned by Mr Fincare Payment Solutions and protected by Indian and international copyright, trademark, and other intellectual property laws.

🔗 8. Third-Party Services

DhwaniPay integrates with third-party services:

• UPI Payment Apps: Paytm, PhonePe, Google Pay, BHIM, Amazon Pay, etc. (notification reading only)
• Google Firebase: Analytics and crash reporting
• Android TTS: Text-to-speech voice generation
• Google Play: App distribution

We are not responsible for the availability, content, or practices of these third-party services. Your use of such services is subject to their respective terms and privacy policies.

⚠️ 9. Disclaimers

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND.

We disclaim all warranties, express or implied, including:

• Merchantability and fitness for a particular purpose
• Accuracy, reliability, or completeness of alerts
• Uninterrupted or error-free operation
• Security or privacy of data (though we implement best practices)
• Compatibility with all devices or UPI apps

Important Notes:

• DhwaniPay is a notification tool, not a payment verification system
• Always verify critical transactions in your UPI app
• We are not responsible for missed notifications or delayed alerts
• Voice alerts depend on device TTS/compatibility and may vary in quality

🛡 10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, Mr Fincare Payment Solutions SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Missed payments or transactions due to notification errors
• Damages arising from third-party services or UPI apps
• Device damage or data loss

Our total liability shall not exceed the amount you paid for premium subscription in the 12 months preceding the claim.

🤝 11. Indemnification

You agree to indemnify and hold harmless Mr Fincare Payment Solutions, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use or misuse of DhwaniPay
• Your violation of these Terms
• Your violation of any third-party rights
• Your breach of applicable laws or regulations

🔄 12. Modifications to Service and Terms

12.1 Service Modifications

We reserve the right to:

• Modify, suspend, or discontinue any part of the App
• Add or remove features at our discretion
• Change pricing for premium subscriptions with notice
• Update supported UPI apps list

12.2 Terms Updates

We may update these Terms from time to time. Changes will be effective immediately upon posting. Your continued use after changes constitutes acceptance. Material changes will be communicated via in-app notification or under Terms of use option in the app.

🚫 13. Termination

We may terminate or suspend your access to DhwaniPay immediately, without prior notice, for:

• Violation of these Terms
• Fraudulent or illegal activity
• Abuse of the service or support team
• Non-payment of premium subscription

You may terminate your account anytime by deleting it from the App settings. All provisions that should survive termination will remain in effect.

⚖️ 14. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles.

Any disputes arising from these Terms or your use of DhwaniPay shall be subject to the exclusive jurisdiction of the courts in Bangalore, Karnataka, India.

🏛 15. Dispute Resolution

Before filing a legal claim, you agree to contact us at contact@dhwanipay.com to seek informal resolution. We commit to responding within 15 business days and working in good faith to resolve disputes.

If informal resolution fails, disputes may be resolved through arbitration in accordance with the Arbitration and Conciliation Act, 1996 in Bangalore, India.

📌 16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

📑 17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Mr Fincare Payment Solutions regarding DhwaniPay and supersede all prior agreements and understandings.
